1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Domson B2B e-commerce platform ("Platform") operated by Domson Ltd, a company registered in England and Wales (company number 06460707) with its registered office at 1-10 Gordon Road, Waltham Abbey, EN9 1AF, United Kingdom ("we", "us", "our").

By registering an account or using the Platform, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use the Platform.

The purchase of goods through this Platform is governed by our separate Terms of Sale.

2. Business-to-Business Platform

This Platform is intended solely for business customers ("Buyers") purchasing goods in the course of their trade, business, craft or profession. By using this Platform, you confirm that you are acting in a business capacity and not as a consumer. The Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to transactions on this Platform.

3. Account Registration

To place orders on the Platform, you must register a business account. When registering, you agree to:

  • Provide accurate, current and complete information about your business.
  • Keep your account information up to date, including your company name, address, VAT number and contact details.
  • Keep your password secure and confidential. You are responsible for all activity under your account.
  • Notify us immediately of any unauthorised use of your account at office@domson.co.uk.

We reserve the right to suspend or terminate any account that we reasonably believe has been used in breach of these Terms.

4. Company Accounts and Authorised Users

A company account may have multiple authorised users (employees). The company administrator is responsible for managing access, including:

  • Adding and removing employees from the company account.
  • Setting spending limits for individual employees where applicable.
  • Ensuring all authorised users comply with these Terms.

The company shall be liable for all orders placed by its authorised users through its account.

5. Quotes and Approvals

The Platform may provide features allowing you to request a quote (RFQ) or submit orders for internal approval. These features are provided as tools to support your business workflows. A quote issued through the Platform is an invitation to treat and does not constitute a binding offer until accepted and confirmed by us.

6. Intellectual Property

All content on this Platform — including text, images, logos, product descriptions, graphics and software — is owned by or licensed to Domson Ltd and is protected by copyright, trade mark and other intellectual property laws of the United Kingdom and international treaties.

You may not reproduce, distribute, modify or create derivative works from any content on this Platform without our prior written consent.

7. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Platform, other accounts, or computer systems.
  • Use automated tools (bots, scrapers) to access the Platform without our written permission.
  • Interfere with or disrupt the Platform or its servers.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free or free of viruses.
  • We shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, use, goodwill or other intangible losses arising out of or in connection with your use of the Platform.
  • Our total aggregate liability to you for any claims arising from your use of the Platform shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
  • Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by English law.

9. Indemnification

You agree to indemnify and hold harmless Domson Ltd, its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your use of the Platform.

10. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use and protect your personal data in accordance with the UK GDPR and the Data Protection Act 2018.

11. Amendments

We may revise these Terms at any time by updating this page. The revised Terms will apply from the date of publication. We recommend that you check this page regularly. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
